1. Introduction and Acceptance
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", "your") and CBS Refrigeration Ltd, a company registered in England and Wales under company number 09830725, with registered office at 23 Observatory Court Friern Barnet Road, London, England, N11 1ND ("CBS Refrigeration", "we", "us", "our").
By accessing or using our website, product configurator, or purchasing our products, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not use our services.
2. Definitions
"Configurator" means our proprietary online product configuration system accessible at www.cbs-refrigeration.co.uk.
"Made-to-Order Product" means any refrigeration equipment customised using our Configurator according to your specifications.
"Standard Product" means pre-manufactured products available without customisation.
"Services" means our website, Configurator, and all associated services we provide.
3. Made-to-Order Products - Consumer Rights
3.1 Exclusion from Right to Cancel
Under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, specifically Regulation 28(1)(c), products made to your specifications or clearly personalised are EXCLUDED from the 14-day cooling-off period.
3.2 No Returns or Refunds
All Made-to-Order Products configured using our Configurator:
- Are manufactured specifically to your individual requirements
- Cannot be cancelled once your order is confirmed
- Cannot be returned for a refund or exchange
- Begin production immediately upon order confirmation
3.3 Your Acknowledgement
By placing an order for a Made-to-Order Product, you expressly acknowledge and agree that:
- You have carefully reviewed your configuration before ordering
- The product is being manufactured to your specific requirements
- You waive your right to cancel under the Consumer Contracts Regulations 2013
- You understand the product cannot be returned except as required by law (see Section 3.4)
3.4 Statutory Rights Not Affected
Nothing in these Terms affects your statutory rights under the Consumer Rights Act 2015. You retain the right to:
- Reject products that are faulty, not as described, or not fit for purpose
- Request repair or replacement of defective products within the warranty period
- Seek compensation for losses caused by our breach of contract
4. Product Configurator - Proprietary Technology
4.1 Intellectual Property Rights
The Configurator, including but not limited to:
- All software, source code, and algorithms
- User interface design and functionality
- Product visualisation system
- Configuration logic and rules engine
- All graphics, images, and visual elements
- Database structure and product data
is the exclusive property of CBS Refrigeration Ltd and is protected by:
- Copyright, Designs and Patents Act 1988
- UK and EU copyright laws
- International copyright treaties
- Trade secret and confidential information laws
4.2 Strictly Prohibited Activities
You are STRICTLY PROHIBITED from:
- Copying, reproducing, or duplicating the Configurator in whole or in part
- Reverse engineering, decompiling, or disassembling any part of the Configurator
- Creating derivative works based on the Configurator
- Extracting, scraping, or harvesting data, code, or content from the Configurator
- Using automated tools (bots, scrapers, crawlers) to access the Configurator
- Removing, obscuring, or altering any copyright notices or proprietary marks
- Distributing, sublicensing, or transferring access to the Configurator
- Creating competing products using our Configurator as a model or reference
- Using the Configurator to build similar systems for third parties
4.3 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Configurator solely for the purpose of configuring and purchasing refrigeration products from CBS Refrigeration. This license does not grant you any ownership rights or intellectual property rights in the Configurator.
4.4 Enforcement and Legal Action
Unauthorised use of the Configurator constitutes:
- Copyright infringement under UK and international law
- Breach of contract under these Terms
- Misappropriation of trade secrets
- Potentially criminal offences under the Computer Misuse Act 1990
We will pursue all available legal remedies including but not limited to:
- Immediate injunctive relief to stop unauthorised use
- Damages and compensation for all losses incurred
- Account of profits derived from unauthorised use
- Legal costs and expenses on an indemnity basis
- Criminal prosecution where applicable
⚠️ NOTICE TO COMPETITORS
Our Configurator is actively monitored for unauthorised use. We employ technical measures including:
- Digital fingerprinting and watermarking
- Access logging and monitoring systems
- Automated detection of scraping and copying attempts
- Legal counsel on retainer for IP enforcement
Violations WILL be detected and prosecuted to the fullest extent of the law.
5. Product Colours and Visual Representation
5.1 Illustrative Purposes: All product colours displayed in the Configurator are illustrative only and provided as a visual guide to assist your selection.
5.2 Colour Variations: Due to screen calibration differences, lighting conditions, and manufacturing variations, actual product colours may differ slightly from those shown in the Configurator.
5.3 No Guarantee: We do not guarantee exact colour matching between Configurator images and final products. Minor variations do not constitute grounds for return or refund.
5.4 Colour Samples: If exact colour matching is critical to your requirements, please contact us to request physical colour samples before placing your order.
6. Pricing and Payment
6.1 Prices: All prices are in Pounds Sterling (GBP) and include VAT at the current rate unless otherwise stated.
6.2 Price Accuracy: We strive to ensure pricing accuracy but reserve the right to correct errors. If an error occurs, we will contact you before processing your order.
6.3 Payment Terms: Full payment is required before we begin manufacturing Made-to-Order Products.
6.4 Accepted Payment Methods:
- Credit cards (processed securely via Stripe)
- Debit cards (processed securely via Stripe)
- Apple Pay
- Google Pay
7. Delivery and Lead Times
7.1 Lead Times: Made-to-Order Products typically require [6-8 weeks] for manufacture and delivery. Exact timescales will be confirmed upon order.
7.2 Delivery Charges: Delivery charges are calculated based on location and product size. Costs will be displayed before checkout.
7.3 Delivery Area: We deliver throughout the UK mainland. Additional charges may apply for Scottish Highlands, Islands, and Northern Ireland.
7.4 Risk Transfer: Risk of loss or damage passes to you upon delivery.
8. Warranty and After-Sales Support
8.1 Manufacturer's Warranty: All products are covered by our standard manufacturer's warranty for [X years/months] from date of delivery.
8.2 Warranty Coverage: The warranty covers manufacturing defects and faulty components under normal use conditions.
8.3 Exclusions: The warranty does not cover damage caused by misuse, unauthorised modifications, or normal wear and tear.
8.4 Statutory Rights: This warranty is in addition to your statutory rights under the Consumer Rights Act 2015.
9. Limitation of Liability
9.1 Consumer Rights: Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
9.2 Business Customers: To the extent permitted by law, our total liability for any claim is limited to the price paid for the product giving rise to the claim.
9.3 Consequential Losses: We are not liable for indirect, consequential, or special losses including loss of profits, business, or revenue.
10. Data Protection and Privacy
Your personal data is processed in accordance with our Privacy Policy and the UK General Data Protection Regulation (UK GDPR) and Data Protection Act 2018.
We are registered with the Information Commissioner's Office (ICO) under registration number ZB463098.
11. Governing Law and Jurisdiction
11.1 Governing Law: These Terms are governed by the laws of England and Wales.
11.2 Jurisdiction: Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11.3 Consumer Rights: If you are a consumer resident in Scotland or Northern Ireland, you may bring proceedings in your local courts.
12. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our Services after changes constitutes acceptance of the updated Terms.
